1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by OGBN Properties Limited (“OGBN Properties”, “we”, “our”, or “us”), including our website, mobile applications, and property management platform.

By accessing or using our services, you agree to be bound by these Terms.

2. DEFINITIONS

• “Platform”: OGBN Properties website, portal, and applications
• “User”: Any individual or entity using the platform
• “Landlord”: Property owner listing or managing property
• “Tenant”: Occupant or prospective occupant
• “Services”: Property sales, management, rental, and shortlet services

3. ELIGIBILITY

• Users must be at least 18 years old
• Users must provide accurate and verifiable information
• Businesses must be duly registered where applicable

4. SERVICES PROVIDED

OGBN Properties offers:

• Property sales and brokerage services
• Property management services
• Rental and leasing services
• Shortlet management services
• Property listing and marketing services

We act as an intermediary and/or service provider and do not guarantee property availability or performance unless expressly stated.

5. USER RESPONSIBILITIES

Users agree to:

• Provide accurate and complete information
• Maintain confidentiality of login credentials
• Comply with applicable laws and regulations
• Use the platform for lawful purposes only

Users must not:

• Provide false information
• Engage in fraudulent transactions
• Interfere with platform operations
• Circumvent payment systems

6. PROPERTY LISTINGS

• Landlords are responsible for accuracy of listings
• OGBN Properties reserves the right to verify or remove listings
• Listings must not violate laws or third-party rights

7. TENANCY & LEASE AGREEMENTS

• All tenancy agreements are subject to separate contracts
• OGBN Properties facilitates but does not replace legal agreements
• Tenants must comply with lease terms

8. PAYMENTS & FEES

8.1 Fees

Users agree to pay applicable fees, including:

• Property management fees
• Letting/agency fees
• Service charges
• Shortlet commissions

8.2 Payment Terms

• Payments must be made through approved bank accounts or wallets only 
• Late payments may attract penalties
• OGBN may suspend services for non-payment

9. COMMISSIONS 

• OGBN earns commission on property sales as agreed
• Commission is payable upon successful transaction
• Parties agree not to bypass OGBN to avoid commission

10. SHORTLET SERVICES

• OGBN may manage shortlet properties on behalf of owners
• Revenue sharing agreements apply
• Guests must comply with house rules
• Damage or misuse may result in penalties

11. MAINTENANCE & REPAIRS

• OGBN coordinates maintenance but may use third-party vendors
• Landlord approval may be required for major repairs
• Costs are charged to property owners unless otherwise agreed

12. DATA PROTECTION & PRIVACY

User data is handled in accordance with our Privacy Policy and applicable laws including the Nigeria Data Protection Act.

13. INTELLECTUAL PROPERTY

• All platform content (logos, systems, software) belongs to OGBN
• Users may not copy, distribute, or reproduce without permission

14. LIMITATION OF LIABILITY

OGBN Properties shall not be liable for:

• Tenant default or landlord breach
• Property damage not caused by OGBN
• Losses arising from third-party actions
• Indirect or consequential damages

Liability is limited to the extent permitted by law.

15. INDEMNITY

Users agree to indemnify OGBN Properties against:

• Claims arising from misuse of the platform
• Breach of these Terms
• Violation of laws or third-party rights

16. TERMINATION

OGBN may suspend or terminate access:

• For breach of Terms
• For fraudulent activity
• For non-payment

Users may terminate by discontinuing use and settling obligations.

17. DISPUTE RESOLUTION

• Parties shall first attempt amicable resolution
• Disputes may be referred to mediation
• Failing resolution, disputes shall be subject to Nigerian courts

18. GOVERNING LAW

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

19. FORCE MAJEURE

OGBN shall not be liable for failure to perform due to events beyond its control, including:

• Natural disasters
• Government actions
• Power or network outages

20. AMENDMENTS

OGBN reserves the right to update these Terms at any time.
Continued use constitutes acceptance of updated Terms.
